These terms apply to every quotation, sample and order supplied by Suleri Bros Exports [Pvt. Ltd. / Sole Proprietorship] (“we”, “us”) to a buyer (“you”). Where a quotation, proforma invoice or signed contract for a specific order says something different, that document takes precedence for that order. Use of this website itself is covered by our terms of use.
1. Quotations
- Quotations are valid for [30] days from the date issued, unless the quotation states otherwise.
- Prices are quoted per unit in the currency and under the Incoterm shown on the quotation, and assume the specification, quantity and packaging described on it.
- Changes to specification, materials, quantity, packaging, artwork or delivery date after quotation may change the price and lead time; we will re-quote before proceeding.
- Nothing on our website is an offer capable of acceptance. An order exists only once confirmed in writing by both parties.
2. Samples
- We produce samples for your approval before any bulk order is committed. Sample cost and courier charges are stated on the sample quotation.
- Where a bulk order follows, the sample cost is credited against that order [within the period stated on the sample quotation].
- The approved sample, together with the agreed specification and tolerances, becomes the reference standard for production and inspection.
3. Orders and payment
- Unless agreed otherwise in writing, orders require a deposit of [__%] on confirmation, with the balance of [__%] due [against copy shipping documents / before shipment].
- Payment is made by [bank transfer (T/T) / letter of credit] to the account named on the proforma invoice. We will never ask you to pay to a different account by email or message alone - always confirm bank details by phone.
- Production starts once the deposit has cleared and any outstanding approvals (artwork, packaging, labels) have been received.
- Bank charges on your side of the transfer are for your account.
4. Lead times
Lead times run from deposit receipt and final approvals, and are estimates given in good faith. We report progress against the agreed schedule and tell you promptly about any delay. We are not liable for delays caused by events outside our reasonable control (see section 9).
5. Private label and buyer materials
- You confirm that you own, or are licensed to use, any trademarks, logos and artwork you ask us to apply, and that they do not infringe the rights of others.
- Your artwork, trademarks and specifications remain your property and are used only for your orders.
- You are responsible for confirming that labelling, markings and packaging meet the requirements of your destination market.
6. Inspection and release
- Goods are inspected against the approved sample and specification at the stages agreed for your order. Final inspection samples to AQL 2.5 (major) and 4.0 (minor) under ISO 2859-1 unless another level is agreed.
- You receive a written, photographic inspection report before shipment and decide whether to release the goods.
- You may appoint a third-party inspection company at your own cost. Please give us reasonable notice so the inspection can be scheduled before the planned ship date.
- 100% inspection is carried out only where it has been agreed and priced for your order.
7. Shipping, risk and title
- Delivery, transfer of risk and the split of freight, insurance and customs costs follow the Incoterm (Incoterms® 2020) stated on the proforma invoice, for example FOB or CIF.
- Title to the goods passes to you once we have received payment in full [unless the order documents state otherwise].
- We provide the commercial invoice, packing list and bill of lading, plus any further documents agreed for your order. Import duties, taxes and clearance at destination are your responsibility unless agreed otherwise.
8. Claims
- Any claim for shortage, damage or non-conformity must be notified in writing within [__] days of the goods arriving at the destination port, with photographs and the affected carton or lot numbers.
- Claims are assessed against the approved sample, the agreed specification and the pre-shipment inspection report.
- Where a claim is accepted, we will agree a remedy with you - replacement, repair, credit note or refund for the affected goods - up to the invoiced value of those goods.
- Damage in transit is claimed against the carrier or insurer under the applicable Incoterm; we will support the claim with the documents we hold.
9. Events outside our control
Neither party is liable for delay or failure caused by events beyond its reasonable control, such as natural disasters, epidemics, war, government action, strikes, port closures or carrier disruption. The affected party will notify the other promptly and both will work to limit the impact.
10. Cancellation
An order may be cancelled by agreement. Costs already incurred - including materials booked, work in progress and packaging produced - [may be deducted from the deposit] before any balance is returned.
11. Liability
To the extent permitted by law, our total liability for any order is limited to the invoiced value of the goods concerned, and we are not liable for indirect or consequential loss such as loss of profit, business or goodwill.
12. Governing law
These terms and every order are governed by the laws of the Islamic Republic of Pakistan. Disputes will first be discussed in good faith; if unresolved, they are subject to the courts of [Lahore], unless the order documents provide otherwise.
